1. Acceptance of these Terms

These Terms of Use ("Terms") govern your access to and use of the website located at https://joinstargaze.com (the "Site") operated by Stargaze Tech Inc. ("Stargaze", "we", "us", or "our"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

2. About Stargaze

Stargaze Tech Inc. is a technology company that designs, builds, and operates high-performance digital platforms and infrastructure for fintech, telecom, and global products, including multi-channel verification and messaging delivery infrastructure.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

4. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable laws or regulations;
• Attempt to gain unauthorized access to the Site, its systems, or networks;

5. Services and engagements

The Site provides general information about Stargaze and its services. Any provision of services, infrastructure, or messaging capabilities is governed by a separate written agreement (such as a Master Services Agreement or order form) between Stargaze and the applicable customer. In the event of a conflict between these Terms and such an agreement, the separate agreement controls with respect to the services it covers.

6. Messaging services — acceptable use

Where Stargaze provides verification, transactional, or utility messaging services (including one-time passcodes / OTP delivered via SMS, RCS, or other channels), the following apply:

• Messages are limited to legitimate verification, transactional, and utility purposes. We do not provide unsolicited marketing or promotional messaging.
• Valid end-user consent (opt-in) must be obtained before messaging, and recipients must be able to opt out at any time (e.g., by replying STOP).
• Use of the messaging services must comply with all applicable laws and with the rules, policies, and requirements of relevant carriers and messaging platform providers (including Google and Apple RCS platforms and the GSMA RCS Universal Profile).
• Prohibited content includes unlawful, fraudulent, deceptive, abusive, or prohibited-category messaging as defined by applicable carriers and platforms.

7. Intellectual property

The Site and its content, including text, graphics, logos, and design, are owned by or licensed to Stargaze and are protected by intellectual property laws. Except as expressly permitted, you may not reproduce, distribute, modify, or create derivative works from the Site without our prior written consent.

8. Third-party services

The Site and our services may rely on or interoperate with third-party platforms and networks, including telecommunications carriers, messaging aggregators, and RCS/SMS platform providers (such as Google and Apple). We are not responsible for the availability, policies, or performance of such third parties.

9. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, or error-free.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARGAZE AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless Stargaze from any claims, damages, liabilities, and expenses arising out of your use of the Site or violation of these Terms.

12. Governing law

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws principles. The exclusive venue for any dispute shall be the state or federal courts located in Georgia, and you consent to their jurisdiction.
